1. Introduction

Welcome to Qubits Edge (“Company”, “we”, “our”, “us”). These Terms and Conditions (“Terms”) govern your use of our website located at [qubitsedge.com] (the “Site”) and your engagement with our IT development and consulting services (the “Services”).

By accessing our Site or engaging our Services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Site or use our Services.

Qubits Edge is a company registered in Dubai, United Arab Emirates.

2. Use of the Website

2.1 License to Use

Unless otherwise stated, Qubits Edge and/or its licensors own the intellectual property rights for all material on this Site. All intellectual property rights are reserved. You may access this from Qubits Edge for your own personal use subjected to restrictions set in these terms and conditions.

2.2 Prohibited Activities

You are specifically restricted from all of the following:

  • Publishing any Site material in any other media without our consent.
  • Selling, sublicensing, and/or otherwise commercializing any Site material.
  • Using this Site in any way that is or may be damaging to this Site.
  • Using this Site contrary to applicable laws and regulations, or in any way may cause harm to the Site, or to any person or business entity.
  • Engaging in any data mining, data harvesting, data extracting, or any other similar activity in relation to this Site.

3. Service Engagement & Scope

3.1 Applicability

These Terms apply to all services provided by Qubits Edge, including but not limited to Web Development, Mobile App Development, SaaS Solutions, UI/UX Design, Hosting, AI Solutions, and IT Consulting.

3.2 Statements of Work (SOW)

Specific projects will typically be governed by a separate Statement of Work (SOW) or Service Agreement signed by both parties. In the event of a conflict between these Terms and a specific SOW, the terms of the SOW shall prevail.

3.3 Client Obligations

To ensure the successful delivery of Services, the Client agrees to:

  • Provide clear, complete, and accurate information regarding their requirements.
  • Provide necessary access to platforms, servers, or data required for development.
  • Respond to approval requests and feedback rounds in a timely manner.

4. Intellectual Property (IP) Rights

4.1 Client Ownership

Upon full payment of all fees, Qubits Edge assigns to the Client all right, title, and interest in the Custom Code, Designs, and Deliverables created specifically for the Client under the project scope.

4.2 Qubits Edge Ownership

Qubits Edge retains ownership of:

  • Pre-existing code, libraries, frameworks, or tools used to build the Deliverables (“Background IP”).
  • Generic methodologies, algorithms, and know-how developed during the project that are not unique to the Client’s business logic.
  • The Qubits Edge brand, logo, and website content.

5. Payment and Refund Policy

5.1 Payment Terms

Unless agreed otherwise in an SOW, invoices are due within 14 days of receipt.

  • Deposit: A non-refundable deposit (typically 30-50%) is required to commence work.
  • Milestones: Remaining payments are pegged to project milestones (e.g., Design Approval, Beta Launch, Final Delivery).

5.2 Late Payments

Failure to make payments by the due date may result in a temporary suspension of Services or withholding of final Deliverables.

5.3 Refunds

Due to the custom nature of IT development, no refunds are issued for work that has already been completed and approved. If a project is cancelled by the Client, the Client acts liable to pay for all work completed up to the cancellation date.

6. Hosting & Maintenance Services

6.1 Uptime & Service Levels

For clients subscribed to our Hosting & Support packages, we strive to maintain 99.9% server uptime. However, Qubits Edge is not liable for downtime caused by:

  • Third-party service providers (e.g., AWS, Azure, Google Cloud).
  • Force Majeure events.
  • Client negligence or unauthorized access.

6.2 Maintenance Updates

“Maintenance” covers standard security patches and bug fixes. It does not cover new feature development or design changes, which will be billed separately.

7. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the engagement. Qubits Edge will not disclose your proprietary business logic, trade secrets, or data to any third party without your written consent, except as required by law.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Qubits Edge, nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with your use of this Site or our Services.

  • Qubits Edge shall not be liable for any indirect, consequential, or special liability arising out of or in any way related to your use of this Site or our Services (including loss of data or loss of profits).
  • Our total liability for any claim arising out of our Services shall not exceed the total amount paid by you to us for the specific Service giving rise to the claim.

9. Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates. You submit to the non-exclusive jurisdiction of the state and federal courts located in Dubai for the resolution of any disputes.
